By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent's or guardian's permission to use the Service. By using the Service, you represent and warrant that you meet these requirements.

3. Account Registration and Security

To access certain features of the Service, you must create an account. You agree to:

4. Subscription and Billing

Subscription Plans

Kanfly offers free and paid subscription plans. Paid subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

Payment

You authorize us to charge your payment method for all fees associated with your subscription. All fees are non-refundable except as required by law or as expressly stated in these Terms.

Refunds

We offer a 30-day money-back guarantee for first-time annual subscriptions. Monthly subscriptions are not eligible for refunds. Contact support within 30 days of purchase to request a refund.

Price Changes

We reserve the right to change our pricing at any time. Price changes will be communicated at least 30 days in advance and will take effect at your next billing cycle.

5. Service Features and Plans

Free Plan

Provides basic task management features with limitations on workspaces, projects, and users.

Team Plan

Includes advanced collaboration features, unlimited projects, and enhanced permissions.

Enterprise Plan

Offers dedicated support, advanced security features, custom integrations, and SLA guarantees.

6. Beta Features

We may offer beta or experimental features. These are provided 'as-is' without warranties and may contain errors or be discontinued without notice. Your use of beta features is at your own risk.

7. Intellectual Property Rights

Service Ownership

Kanfly and its licensors own all rights, title, and interest in the Service, including all intellectual property rights. These Terms do not grant you any ownership rights in the Service.

Your Content

You retain all rights to the content you create, upload, or share through the Service ('User Content'). You are solely responsible for your User Content and the consequences of sharing it.

License to Kanfly

By uploading User Content, you grant Kanfly a worldwide, non-exclusive, royalty-free license to use, store, display, and distribute your User Content solely for the purpose of providing and improving the Service.

8. User Conduct and Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Upload harmful content, including malware, viruses, or malicious code
• Send spam, phishing attempts, or unsolicited communications
• Attempt to gain unauthorized access to the Service or other users' accounts
• Impersonate another person or entity
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools to scrape or download content from the Service

9. Workspace Administration

Workspace administrators have full control over workspace settings, user permissions, and content. Administrators are responsible for ensuring compliance with these Terms by all workspace members.

13. Service Modifications and Discontinuation

We may modify, suspend, or discontinue any aspect of the Service at any time without liability. We will provide reasonable notice for material changes that negatively impact functionality.

14. Termination

You may terminate your account at any time through account settings. We may suspend or terminate your account immediately for violations of these Terms, illegal activity, or other reasons at our discretion. Upon termination, your access to the Service will cease.

15. Disclaimers and Warranties

The Service is provided 'as is' and 'as available' without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the Service will be uninterrupted, secure, or error-free.

16. Limitation of Liability

To the maximum extent permitted by law, Kanfly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service. Our total liability shall not exceed the greater of $100 or the amount you paid us in the 12 months preceding the claim.

17. Indemnification

You agree to indemnify, defend, and hold harmless Kanfly and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

18. Dispute Resolution and Arbitration

Binding Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You have 30 days from first use to opt out by emailing legal@kanfly.io.

Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions or representative proceedings.

19. Governing Law and Jurisdiction

These Terms shall be governed by the laws of Delaware, United States, without regard to conflict of law principles. Exclusive jurisdiction for any disputes shall be in Wilmington, Delaware.

20. General Provisions

• These Terms constitute the entire agreement between you and Kanfly
• If any provision is found unenforceable, the remaining provisions will remain in effect
• No waiver of any term shall be deemed a further or continuing waiver
• You may not assign these Terms without our consent; we may assign freely
